Club Booster Program Terms and Conditions
This Booster Program Terms and Conditions ("Agreement") is made and entered into as of [Date], by and between Shop Soccer Dad, an online drop-shipping platform ("Shop Soccer Dad"), and [Youth Soccer Club Name] ("Club").
Recitals
WHEREAS, Shop Soccer Dad offers high-quality outdoor gear designed for parents and families attending youth soccer events, and WHEREAS, Shop Soccer Dad integrates a booster fundraising element, allowing sports teams, particularly soccer clubs, to receive a portion of each sale made through their unique registration code, and WHEREAS, the Club desires to participate in Shop Soccer Dad's booster fundraising program to raise funds for team-related expenses.
Agreement
NOW, THEREFORE, in consideration of the mutual covenants and promises herein contained, the parties hereto agree as follows:
- Registration and Participation
1.1 The Club shall register for the booster fundraising program by providing necessary information, including the Club's logo in PNG or EPS format, to Shop Soccer Dad.
1.2 Upon successful registration, Shop Soccer Dad will provide the Club with a unique registration code to be used for tracking sales.
- Commission Structure
2.1 Shop Soccer Dad agrees to pay the Club a commission of 2%-10% on the total sales of items purchased using the Club's unique registration code.
2.2 The exact commission percentage will be determined based on a prior evaluation of any particular item’s value, individual dollar amount of total sales, and less any promotional agreements between Shop Soccer Dad and the Club.
- Payment Terms
3.1 Commissions earned by the Club will be calculated and paid on a quarterly basis.
3.2 Payments will be made directly to the Club's designated bank account or, if preferred, as gift cards for team gear.
- Shop Soccer Dad will provide a detailed sales report along with each quarterly payment.
- Marketing and Promotion
4.1 The Club agrees to promote the booster fundraising program through its social media channels, newsletters, and other communication platforms.
4.2 Shop Soccer Dad will provide the Club with marketing materials, including flyers, banners, and social media graphics, to assist in promoting the program.
- Product Customization
5.1 Shop Soccer Dad will offer products featuring the Club's logo, allowing parents to purchase gear that shows their team spirit while supporting the Club's fundraising efforts.
5.2 The customization process will be handled by Shop Soccer Dad's print-on-demand partners.
- Term and Termination
6.1 This Agreement shall commence on the date first written above and shall continue until terminated by either party.
6.2 Either party may terminate this Agreement with thirty (30) days written notice to the other party.
6.3 Upon termination, any outstanding commissions earned by the Club up to the date of termination will be paid in accordance with the payment terms outlined in this Agreement.
- Miscellaneous
7.1 This terms stated herein constitutes the entire agreement between the parties and supersedes all prior agreements, understandings, and negotiations, whether written or oral, relating to the subject matter hereof.
7.2 This Agreement may be amended only by a written instrument signed by both parties.
7.3 This Agreement shall be governed by and construed in accordance with the laws of the state of Arizona in which Shop Soccer Dad is headquartered, without regard to its conflict of law principles.
7.4 Any disputes arising out of or in connection with this Agreement shall be resolved through good faith negotiations between the parties. If the parties are unable to resolve the dispute through negotiations, the dispute shall be submitted to mediation before a mutually agreed-upon mediator.
